An experienced broker-dealer and equity crowdfunding platform, we raise capital for private companies from our network of accredited and non-accredited investors. We offer investment opportunities through MicroVenture Marketplace via primary and secondary offerings in special purpose vehicles or directly with issuers, as well as opportunities under Regulation Crowdfunding.
Through Regulation Crowdfunding, we take the connections, research, and deal flow of venture capital and combine it with the open access, ease of use, and diversification of equity crowdfunding to deliver the best of both worlds to our investors. Companies can raise up to $5 million from both accredited and non-accredited investors, activating the entirety of our investor base and potential investors outside of the platform, including passionate customers and brand ambassadors. Companies who successfully raise via Regulation Crowdfunding, typically have at least a minimum viable product, as well as early customer feedback.
506(b) primary offering made via Regulation D generally invest in Seed or Series A rounds, but these companies usually have begun generating significant revenue and noticeable top-line and/or user growth. These investments are only offered to our accredited investors and cannot be marketed outside of our current base.
506(b) secondary offerings made via Regulation D typically invest one to five million in late-stage companies that are pre-IPO. These investment opportunities are also only offered to our accredited investor base.
