It depends primarily on how much money you’re looking to raise for your startup. Under Regulation Crowdfunding, companies may currently only raise $1,070,000 in a given year. Under Regulation D, there are no caps on how much money you may raise. Another differentiation to note is that Regulation D offerings are private raises, making them available only to accredited investors, while Regulation Crowdfunding offerings are public and available to anyone over the age of 18.
